Terms of Service
1. Acceptance of Terms
These Terms of Service govern access to www.valoismedia.com, customer accounts, VMH Lumière, digital libraries, downloads, forms, product listings, and related services. By using the services, creating an account, or completing a purchase, you agree to these Terms and the incorporated Privacy Policy and Copyright notice.
2. Definitions
“VMH,” “we,” “us,” and “our” refer to Valois Media Holdings as operated by CSC. “Services” means the website, accounts, library, VMH Lumière reader, digital fulfillment, and communications. “Content” includes books, text, annotations, illustrations, covers, software, data, and site materials.
3. Eligibility
You must be legally capable of entering a binding agreement in your jurisdiction. A parent or legal guardian must supervise any permitted use by a minor. The Services are not intended for children under 13.
4. Customer Accounts
You must provide accurate information, protect your password, and promptly report suspected unauthorized access. One person may not impersonate another, create accounts using misleading information, or provide account access to unrelated third parties.
5. Email Verification
VMH may require email verification before account functions, purchase claims, downloads, or reader access are enabled. Verification links expire. VMH may request additional information where a purchase cannot be reliably matched to an account.
6. Product Listings and Availability
Descriptions, cover images, format labels, publication information, prices, and availability are provided in good faith and may be corrected or changed. A listing does not guarantee continued availability, territorial availability, or compatibility with every device.
7. Pricing, Currency, and Taxes
Prices are shown in the currency stated on the product page or checkout. Taxes, shipping, currency conversion, and retailer charges may be added by the payment provider or external retailer. You are responsible for charges disclosed before purchase.
8. PayPal Payments
Direct website purchases may use PayPal-hosted checkout. PayPal processes payment credentials under its own terms. VMH verifies transaction information before recording an order or granting a digital entitlement. A browser confirmation alone does not establish access.
9. Amazon and Barnes & Noble Purchases
Links to Amazon, Barnes & Noble, or another retailer take you to an independent service. That retailer controls payment, fulfillment, shipping, returns, customer support, taxes, and account requirements for purchases completed there.
10. Digital Fulfillment
Eligible direct purchases are associated with the verified payer email or customer account. Delivery may occur through an account library, VMH Lumière, a protected download, or another method stated on the product page.
11. VMH Lumière Access
VMH Lumière provides browser-based access to eligible digital titles. Access requires a valid session and active entitlement. Features, supported formats, device compatibility, and reading controls may change as the service develops.
12. Digital License Terms
A digital purchase grants a limited, personal, nonexclusive, revocable, and nontransferable license to read the purchased edition for lawful private use. Ownership of the file, copyright, trademarks, editorial material, or software is not transferred.
13. Download Restrictions
You may not share protected download links, distribute files, upload titles to public storage, remove rights notices, circumvent technical restrictions, or use purchased files to provide access to others. Reasonable download limits may apply.
14. Refunds and Cancellations
Except where required by law or expressly stated at checkout, completed digital purchases are generally nonrefundable after access or download has been provided. Print returns and cancellations are governed by the retailer that fulfilled the order.
15. User Conduct
You must use the Services lawfully and respectfully. You are responsible for information submitted through forms, accounts, and communications and may not use the Services to harass, threaten, defraud, or violate the rights of another person.
16. Prohibited Uses
You may not probe security, bypass access controls, scrape protected books, automate abusive requests, introduce malicious code, interfere with service operation, reverse engineer protected components, create unauthorized datasets, or use the Services for unlawful activity.
17. Intellectual Property
VMH, CSC, contributors, licensors, and authors retain their respective rights in branding, original works, editorial additions, illustrations, cover designs, software, data structures, formatting, compilations, and other protected materials.
18. Public-Domain and Licensed Works
Some editions may incorporate source texts that are public domain in one jurisdiction or used under permission or license. Copyright status can vary by country and edition. Public-domain status of a source text does not place VMH’s original editorial or artistic contributions in the public domain.
19. Contributor and Editorial Material
Forewords, annotations, bibliographies, introductions, illustrations, covers, and other contributor material remain protected according to the rights held by VMH, CSC, the contributor, or another rights holder.
20. Third-Party Services and Links
The Services may depend on Google, GitHub, PayPal, Amazon, Barnes & Noble, email providers, and other third parties. VMH does not control their availability, content, security, policies, or independent actions.
21. Account Suspension and Termination
VMH may suspend or terminate access where reasonably necessary to address fraud, security risk, rights infringement, payment reversal, unlawful conduct, repeated violations, or threats to the Services. Lawful rights and obligations that arose before termination remain enforceable.
22. Service Availability
VMH may update, repair, replace, suspend, or discontinue features and titles. We use reasonable efforts to maintain service but do not promise uninterrupted operation, permanent availability of a particular interface, or error-free delivery.
23. Disclaimer of Warranties
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” VMH and CSC disclaim implied warranties of merchantability, fitness for a particular purpose, noninfringement, and uninterrupted availability where those disclaimers are legally permitted.
24. Limitation of Liability
To the fullest extent permitted by law, VMH and CSC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, or loss of access arising from the Services. Applicable consumer law may provide rights that cannot be waived.
25. Indemnification
To the extent permitted by law, you agree to defend and indemnify VMH and CSC from claims, losses, and reasonable costs arising from your unlawful use, infringement, submitted content, or material breach of these Terms.
26. Governing Law and Indiana Venue
These Terms are governed by Indiana law, without regard to conflict-of-law principles. Subject to nonwaivable consumer rights, disputes shall be brought in a court of competent jurisdiction located in Marion County, Indiana.
27. Severability
If any provision is held unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions will continue in effect.
28. No Waiver
A failure to enforce a provision is not a waiver. A waiver is effective only when made in writing by an authorized representative and applies only to the specific circumstance stated.
29. Changes to the Terms
VMH may update these Terms to reflect changes in services, law, operations, or risk. The effective date will be revised when changes are posted. Continued use after an update constitutes acceptance where permitted by law.
